1.  Platform Description and Relationship

1.1  What GigPay Is

GigPay is a workforce marketplace platform operated by Safety Ambassador Event Services Corp. (“GigPay”, “we”, “our”, or “us”). The platform connects approved business clients seeking temporary event staffing and security services with verified independent contractors, and facilitates escrow-based payment workflows through regulated banking and payment partners.

GigPay provides the following platform services:

  • User onboarding and identity verification

  • Workforce verification and credential validation

  • Booking creation and management

  • Escrow coordination and payment orchestration

  • Settlement management and payout processing

  • Transaction monitoring and compliance services

  • Dispute management

  • Related marketplace and workforce management services

1.2  What GigPay Is Not

GigPay is not a bank, trust company, deposit-taking institution, money service business, staffing agency, employer, or payroll provider. GigPay does not hold client funds — escrow and payment services are provided by regulated financial institution partners (currently Pateno Payments and DC Bank).

Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between GigPay and any Contractor or Business Client.

1.3  Relationship Between Users

GigPay facilitates the connection between Business Clients and Contractors. GigPay is not a party to any staffing arrangement, booking, or services agreement between a Business Client and a Contractor. Business Clients and Contractors contract with each other directly for the provision of services. GigPay’s role is limited to operating the marketplace and managing the payment workflow.

Platform Role Limitation

GigPay is not responsible for the conduct, performance, qualifications, or legal compliance of Business Clients or Contractors. Users engage with each other at their own risk, subject to GigPay’s verification controls and platform rules.

2.  Eligibility

2.1  General Eligibility

To use GigPay, you must:

  • Be at least 19 years of age

  • Have full legal capacity to enter into binding contracts under applicable Canadian law

  • Provide accurate, current, and complete registration information

  • Comply with all applicable federal and provincial laws

  • Complete all required identity verification and compliance procedures

  • Not be subject to any sanctions, regulatory bar, or court order that prohibits use of financial services

2.2  Contractor Eligibility

In addition to the general requirements above, Contractors must:

  • Be legally authorized to work in Canada

  • Hold all licences, certifications, and permits required for the roles they accept on the platform

  • Certify their work authorization status as part of the onboarding process

  • Maintain eligibility throughout their engagement on the platform and notify GigPay immediately of any change

2.3  Business Client Eligibility

In addition to the general requirements above, Business Clients must:

  • Be a legally registered business entity or authorized representative thereof

  • Be authorized to enter into agreements on behalf of the business

  • Complete GigPay’s business onboarding and verification process

  • Receive manual approval from GigPay before accessing payment functionality

GigPay may refuse access to any person or entity that does not meet eligibility requirements or that GigPay determines poses an unacceptable compliance, fraud, or reputational risk.

3.  Account Registration and Verification

3.1  Registration Requirements

To access GigPay’s services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information at all times. GigPay may require:

  • Government-issued photo identification

  • Selfie and liveness verification (biometric)

  • Banking information and account ownership verification

  • Security licence or professional credential verification

  • Business registration information and corporate documents

  • Beneficial ownership information (for Business Clients)

  • Sanctions, PEP, and adverse media screening

  • Additional documentation as required by GigPay’s banking partners

3.2  Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:

  • Use a strong, unique password and enable multi-factor authentication where available

  • Not share your credentials with any other person

  • Not allow any other person to access or use your account

  • Notify GigPay immediately at support@gigpay.ca if you suspect unauthorized access to your account

GigPay is not responsible for losses resulting from unauthorized account access caused by your failure to maintain account security.

3.3  Account Integrity

Each person or entity may maintain only one account on GigPay. Creating multiple accounts to circumvent platform controls, limits, or compliance reviews is a material breach of these Terms and will result in permanent termination of all associated accounts.

3.4  Ongoing Verification

GigPay may require re-verification of your identity, credentials, or banking information at any time. Circumstances that may trigger re-verification include:

  • Expiry or revocation of government-issued identification

  • Change to banking or payout information

  • Expiry or revocation of a required professional licence

  • Compliance review or suspicious activity flag

  • Material change to account information

Failure to satisfy re-verification requirements will result in restriction of account access and payout eligibility until the issue is resolved.

4.  Independent Contractor Relationship

4.1  Contractor Status

All Contractors using GigPay acknowledge and agree that they are independent contractors, not employees, agents, partners, or joint venturers of GigPay or of any Business Client. This status is a fundamental term of these Terms and the basis on which the platform operates.

4.2  Contractor Responsibilities

As an independent contractor, you are solely responsible for:

  • All applicable federal and provincial income taxes, HST/GST, and other tax remittances

  • CPP contributions (where applicable)

  • Obtaining and maintaining all required licences, certifications, and professional credentials

  • Obtaining appropriate insurance coverage for your activities

  • Complying with all laws applicable to the services you provide

  • The manner and means by which you perform services

  • Your own tools, equipment, and workplace safety

4.3  No Employment Relationship

Nothing in these Terms, the Independent Contractor Agreement, or the nature of the platform creates or implies an employment relationship between GigPay and any Contractor, or between a Business Client and any Contractor engaged through GigPay. GigPay does not:

  • Set Contractors’ working hours beyond the scope of an agreed booking

  • Provide employee benefits of any kind

  • Withhold income tax, EI premiums, or CPP contributions

  • Direct or control how Contractors perform their work

Employment Classification Notice

Whether a worker is properly classified as an independent contractor or employee depends on the facts of each engagement and applicable provincial law. Business Clients are responsible for ensuring that their use of the GigPay platform complies with all applicable employment standards, labour, and tax legislation. GigPay recommends that Business Clients seek independent legal advice on worker classification.

5.  Business Client Responsibilities

5.1  Posting and Booking Obligations

Business Clients agree to:

  • Post only accurate, lawful, and legitimate work opportunities that fall within GigPay’s permitted use categories

  • Fund escrow in full before any work commences — no exceptions

  • Review and approve or dispute Contractor hours honestly and in good faith

  • Maintain accurate, current business information on the platform at all times

  • Cooperate fully with GigPay’s dispute resolution procedures

  • Notify GigPay promptly of any change to business ownership, structure, or authorized representatives

5.2  Legal Compliance

Business Clients are solely responsible for ensuring that:

  • All work posted on GigPay complies with applicable federal and provincial law, including the Ontario Employment Standards Act, the Occupational Health and Safety Act, the Human Rights Code, and the Private Security and Investigative Services Act (where applicable)

  • Contractors are not required to perform work outside the scope of the approved booking

  • All required permits, licences, or approvals for the event or worksite are obtained

  • Contractors are provided with a safe working environment

5.3  Prohibited Business Client Conduct

Business Clients may not use GigPay to:

  • Avoid or circumvent legal employment, payroll, tax, or remittance obligations

  • Engage in discriminatory, exploitative, or abusive practices toward Contractors

  • Require Contractors to perform work without escrow funding in place

  • Post work that falls within GigPay’s prohibited industries or use cases

  • Misrepresent the nature, scope, or requirements of available work

6.  Escrow, Payment Processing, and Funds Flow

6.1  Escrow Model

GigPay operates a prefunded escrow model. Before any booking commences, the Business Client must fund the full value of the booking into the escrow structure maintained by GigPay’s regulated banking partners. Funds are held by the banking partner — not by GigPay — until the conditions for release are satisfied.

6.2  Conditions for Payment Release

Escrow funds will be released to a Contractor only when all of the following conditions are met:

  • Work has been completed by the Contractor

  • Time and attendance records have been submitted through the platform

  • The Business Client or designated supervisor has approved the hours worked

  • The settlement amount has been calculated and confirmed

  • No unresolved compliance hold, dispute, or investigation exists on the transaction or either user

6.3  Payment Holds and Delays

GigPay may delay, suspend, or withhold payments where:

  • A compliance review has been triggered

  • Fraud, identity concerns, or suspicious activity is suspected

  • A dispute is active and unresolved

  • Re-verification requirements have not been satisfied

  • Banking partner requirements or instructions apply

  • A court order, regulatory direction, or law enforcement request requires it

GigPay will not be liable for losses resulting from payment delays caused by any of the above circumstances.

6.4  First Payout Review

All newly onboarded Contractors are subject to a mandatory review period before their first payout is processed. This review is a standard compliance control and does not imply any finding of wrongdoing. The review period is typically 72 hours from the time the payout is triggered.

6.5  Prohibited Payment Structures

The following are strictly prohibited:

  • Contractor self-funding of escrow accounts

  • Third-party escrow funding (funding by anyone other than the verified Business Client)

  • Payouts to any account other than the Contractor’s verified bank account

  • Peer-to-peer transfers between platform users

  • Payouts before client escrow funds have cleared

  • Cryptocurrency or virtual currency transactions of any kind

  • Cash transactions

6.6  Refunds and Cancellations

If a booking is cancelled before work begins, escrow funds will be refunded to the Business Client, less any non-refundable platform fees. If a booking is partially completed, GigPay will manage the release or refund of escrow funds in accordance with the platform’s dispute resolution process and applicable policies. GigPay’s determination in respect of refunds is final, subject to Section 11.

7.  Wallet Services

7.1  Wallet Functionality

GigPay may provide a wallet feature to Contractors to hold earned funds pending transfer to their linked bank account. The wallet is not a bank account, deposit account, or stored value account. Wallet balances may only originate from legitimate marketplace activity on the GigPay platform.

7.2  Wallet Restrictions

The following restrictions apply to wallet balances:

  • Wallet balances may not be transferred between users

  • Contractors may not fund their own wallets

  • Wallet balances may not be used for purchases or payments outside the platform

  • Payout schedules and transfer limits apply as disclosed in the platform

  • GigPay may impose balance limits as disclosed in the platform

7.3  Inactive Accounts

An account will be classified as inactive after 180 consecutive days without login activity. GigPay will attempt to notify the account holder by email before classifying an account as inactive. Inactive account procedures, including any applicable dormancy fees or fund handling processes, will be disclosed in the platform. GigPay will comply with applicable unclaimed property legislation in respect of dormant wallet balances.

8.  Fees

GigPay charges fees for certain platform services. All applicable fees will be disclosed to you before a transaction is completed. You will not be charged any fee that was not disclosed in advance.

9.  Compliance, Verification, and Screening

9.1  GigPay’s Compliance Rights

GigPay operates a risk-based compliance program. GigPay may conduct, at any time and without prior notice:

  • Identity and liveness verification

  • Professional licence and credential verification

  • Providing accurate and complete information when requested

  • Responding to compliance information requests within the timeframe specified by GigPay

  • Providing additional documentation to support EDD where required

  • Completing re-verification when required

Failure or refusal to cooperate with compliance requests is a material breach of these Terms and will result in account restriction or termination and may result in funds being withheld pending investigation.

9.3  Banking Partner Obligations

GigPay’s banking partners (Pateno Payments and DC Bank) maintain their own compliance obligations as regulated financial institutions. GigPay will share user information with its banking partners as required to meet those obligations. Users consent to such sharing by agreeing to these Terms. Banking partners may independently require the suspension, restriction, or termination of access where their own compliance requirements necessitate it.

10.  Prohibited Activities

The following activities are strictly prohibited on the GigPay platform. Violation of this section is a material breach of these Terms and may also constitute a criminal offence under applicable Canadian law.

10.1  Financial Crime

  • Money laundering

  • Terrorist financing

  • Fraud of any kind, including identity fraud, booking fraud, and payout fraud

  • Sanctions evasion

  • Operating an unlicensed money service business through the platform

GigPay may not be used in connection with gambling, online casinos, adult entertainment, cannabis businesses, illegal drugs or controlled substances, money service businesses, political fundraising, weapons trafficking, human trafficking, or any other industry prohibited by GigPay’s Acceptable Use Policy or banking partner requirements.

11.  Dispute Resolution

11.1  Platform Disputes

GigPay provides a dispute resolution process for disputes arising between Business Clients and Contractors relating to bookings, hours worked, attendance, payments, and refunds. To initiate a dispute, users must submit a dispute claim through the platform within the timeframe specified in the platform’s dispute policy.

11.2  Dispute Investigation

GigPay will investigate disputes using available platform records, including booking records, time and attendance data, communications, escrow records, and any documentation submitted by the parties. GigPay will use reasonable efforts to resolve disputes within 30 business days.

11.3  Funds During Disputes

Escrow funds associated with a disputed booking will be held pending resolution of the dispute. GigPay will not release disputed funds to either party until the dispute is resolved or a valid legal order requires it.

11.4  GigPay’s Determination

GigPay’s determination in respect of a platform dispute is final and binding on both parties, absent a demonstrable error of fact or a legal requirement to the contrary. GigPay’s determination does not constitute legal advice and does not prevent parties from pursuing their legal rights in a court of competent jurisdiction.

11.5  Legal Disputes Between Users and GigPay

Any dispute between a user and GigPay arising out of or relating to these Terms that cannot be resolved through GigPay’s internal processes shall be resolved by binding arbitration in Ontario, Canada, in accordance with the Arbitration Act, 1991 (Ontario), unless both parties agree otherwise in writing. Nothing in this clause prevents GigPay from seeking injunctive or other equitable relief in any court of competent jurisdiction.

Funds may be withheld where termination results from suspected fraud or compliance violations pending investigation.

Sections 4, 10, 14, 15, 16, 17, and any other provision that by its nature should survive termination will continue in full force following termination of your account or these Terms.

GigPay and its licensors retain all rights, title, and interest in and to the platform, including all software, technology, interfaces, algorithms, branding, logos, trademarks, trade names, domain names, platform content, and proprietary methodologies. Nothing in these Terms transfers any ownership interest to you.

By submitting content to the platform (including profiles, credentials, job postings, reviews, and communications), you grant GigPay a non-exclusive, royalty-free licence to use, store, display, and process that content for the purposes of operating and improving the platform. You represent that you have the right to grant this licence.

14.  Privacy and Data

Your use of GigPay is subject to GigPay’s Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how GigPay collects, uses, stores, shares, and protects your personal information, including information collected for identity verification and compliance purposes.

By agreeing to these Terms, you consent to the collection, use, disclosure, and retention of your personal information as described in the Privacy Policy. You also consent to GigPay sharing your information with its banking partners (Pateno Payments and DC Bank) and third-party verification provider (Sumsub) as necessary to operate the platform and meet applicable regulatory obligations.

The Privacy Policy is available at gigpay.ca and within the platform. If there is a conflict between these Terms and the Privacy Policy on a privacy matter, the Privacy Policy prevails.

15.  Limitation of Liability

15.1  Exclusion of Consequential Damages

To the maximum extent permitted by applicable law, GigPay, its affiliates, directors, officers, employees, and agents shall not be liable for any:

  • Lost profits or lost revenue

  • Lost business opportunities

  • Indirect, incidental, special, punitive, or consequential damages

  • Damages arising from the conduct, acts, or omissions of Business Clients or Contractors

  • Damages arising from unauthorized access to your account caused by your failure to maintain account security

  • Damages arising from platform downtime, technical failures, or service interruptions

15.2  Aggregate Liability Cap

GigPay’s total aggregate liability to you for all claims arising out of or related to these Terms or the platform, regardless of the form of action, shall not exceed the total fees paid by you to GigPay in the twelve (12) months immediately preceding the event giving rise to the claim.

15.3  Essential Basis

The limitations in this section reflect a reasonable allocation of risk between GigPay and its users and are an essential basis of the agreement between the parties. GigPay would not provide the platform on the terms set out in these Terms without these limitations.

Consumer Rights

Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties. If you are a consumer under applicable Canadian law, some of the limitations above may not apply to you. Nothing in these Terms limits any right you may have under applicable consumer protection legislation.

16.  Indemnification

You agree to defend, indemnify, and hold harmless GigPay, its affiliates, directors, officers, employees, agents, banking partners, and successors from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your violation of these Terms or any GigPay policy

  • Your violation of any applicable law or regulation

  • Your fraudulent, negligent, or intentional misconduct

  • Your use of the platform in a manner not authorized by these Terms

  • Any dispute between you and another platform user

  • Any claim by a third party arising from your engagement with a Business Client or Contractor

  • Any misrepresentation made by you in connection with your account or use of the platform

GigPay reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your expense. You agree to cooperate with GigPay’s defence of such claims.

17.  Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to the arbitration provision in Section 11.5, you irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any dispute arising out of or in connection with these Terms that is not subject to arbitration.

19.  Amendments

GigPay may update or amend these Terms at any time. When material changes are made, GigPay will provide reasonable advance notice through the platform or by email. The amended Terms will be effective on the date specified in the notice.

Continued use of the GigPay platform after the effective date of amended Terms constitutes your acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using the platform and contact GigPay to close your account.

GigPay will maintain a version history of these Terms and the effective date of each version. Previous versions are available upon request.

20.  Severability and Entire Agreement

20.1  Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.

20.2  Entire Agreement

These Terms, together with the Privacy Policy, Independent Contractor Agreement (for Contractors), Business Client Services Agreement (for Business Clients), and Acceptable Use Policy, constitute the entire agreement between you and GigPay with respect to the platform and supersede all prior agreements, understandings, and representations. In the event of a conflict between these Terms and another GigPay document, these Terms prevail unless the other document expressly states otherwise.

20.3  No Waiver

GigPay’s failure to enforce any provision of these Terms on any occasion does not constitute a waiver of its right to enforce that provision on any other occasion or its right to enforce any other provision.

20.4  Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms to any other person without GigPay’s prior written consent. GigPay may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets, provided that the successor entity assumes all obligations under these Terms.
